Acquires 100% Stake in Citelum India from France Government Owned EDF Group Mumbai (Maharashtra) [India], August 14: Krystal Integrated Services Limited (KISL), one of India’s leading providers of integrated facility management, staffing solutions, security services, catering and waste management services, has announced the acquisition of a 100% equity stake in Citelum India Private Limited (“Citelum India”) from its existing shareholders, including Citelum S.A.S., France. Following the transaction, Citelum India will become a wholly owned subsidiary of Krystal Integrated Services Limited. The acquisition marks Krystal’s strategic entry into the City Lighting & Urban Infrastructure segment and represents a significant step in the Company’s vision of building an engineering-led infrastructure services business. Over the next three to four years, Krystal aims to generate annual revenues of ₹300–350 crore from this new business vertical and plans to invest approximately ₹100 crore towards strengthening engineering capabilities, technology platforms and business expansion. The Company also plans to expand its operations across 30–40 cities in 12–15 states, with infrastructure services expected to contribute 12–15% of Krystal’s consolidated revenues in the coming years.

Strategic Rationale

  •  Marks Krystal’s entry into the rapidly growing City Lighting & Urban Infrastructure sector, supported by increasing investments in energy-efficient public infrastructure and urban development initiatives.
  •  Combines Citelum India’s expertise in city lighting and urban infrastructure with Krystal’s strong integrated facility management and technical operations capabilities.
  •  Enhances the Company’s ability to provide end-to-end infrastructure services, particularly for long-term operations and maintenance (O&M) projects.
  •  Enables Krystal to expand into a broader range of electrical infrastructure services, including connected lighting, smart metering, EV charging infrastructure, and other smart city-focused electrical solutions.
Commenting on the acquisition, Mr. Sanjay Dighe, CEO & Whole-Time Director, Krystal Integrated Services Limited, said, “The acquisition of Citelum India Private Limited marks a strategic milestone in Krystal Integrated Services Limited’s journey to strengthen its presence in infrastructure-linked services. As India continues to witness rapid urbanization, growing investments in public infrastructure and an increasing focus on energy efficiency, the demand for technology-enabled city lighting and urban infrastructure solutions is expanding significantly. Cities today require integrated partners capable of delivering not only installation expertise but also long-term operations, maintenance and asset management of critical lighting infrastructure. Citelum India has established strong technical capabilities in the design, engineering, installation and maintenance of city lighting infrastructure, with proven expertise in connected lighting solutions. By integrating Citelum India’s technical strengths with Krystal’s operational excellence in integrated services and technical maintenance, we will be well-positioned to participate in larger infrastructure opportunities that require specialized engineering expertise and long-term service delivery. Citelum India will continue to operate as a wholly owned subsidiary, supporting our long-term strategy of expanding into adjacent infrastructure service verticals and strengthening our leadership in city lighting and urban infrastructure services.” Commenting on the acquisition, Mr. B. Sivakumar, CEO & Director, Citelum India Private Limited, said “This acquisition by Krystal Integrated Services Limited marks an important milestone in Citelum India’s growth journey. Over the years, we have built strong capabilities in delivering city lighting and urban infrastructure solutions across India, and becoming a part of the Krystal Group provides us with an excellent opportunity to further strengthen and scale these capabilities. Krystal’s robust operational platform, extensive customer relationships and expertise in infrastructure-linked services perfectly complement our technical strengths, creating a solid foundation for sustainable future growth. We believe this partnership will enable us to pursue larger and more complex opportunities, enhance service delivery and accelerate innovation in sustainable city lighting and urban infrastructure. Together, we are well-positioned to address the growing demand for energy-efficient and technology-enabled infrastructure solutions while creating long-term value for our customers, employees and all stakeholders. The acquisition also presents a significant opportunity to generate meaningful employment in an era increasingly shaped by technology and AI-led transformation. As we expand our operations, we see the potential to create more than 5,000 skilled and semi-skilled employment opportunities, enabling more people to participate in and benefit from India’s rapidly growing urban infrastructure ecosystem.”
